Terms and conditions

The following terms and conditions apply to your use of TEAM iQ.

1. Licence to use TEAM iQ

   “TEAM iQ” is a hosted software application you are about to start to use.

   You are licensed to and can use TEAM iQ subject to these conditions. Your use of TEAM iQ indicates your acceptance of these conditions.

2. Free Trial

   You do not have to pay anything to use TEAM iQ during your Free Trial, which lasts for 30 days after you create your TEAM iQ account.

3. Your choice to stop using TEAM iQ

   At any time you can choose to stop using TEAM iQ, and so terminate this agreement, by simply not paying your Subscription Fee when it would otherwise fall due.

4. Your choice to continue using TEAM iQ

   You can choose to continue to use TEAM iQ by paying your Subscription Fees as they fall due.

5. User and technical support

   We will provide user and technical support.

   We will access, read and preserve by way of backup, the data in your TEAM iQ account in order to support and maintain the system, and monitor your compliance with the terms of this agreement.

6. Subscription Fee

   After your Free Trial, your continued access to TEAM iQ is subject to a Subscription Fee of £35.00 per month, payable monthly in advance for as long as you choose to continue to use TEAM iQ.

   Subscription Fees are not refundable under any circumstances.

   Where more than one month is paid for in advance then a discount of £5.00 is applied to each additional month. For example, payment of 12 months up front will attract a discount of 11 X £5.00 = £55.00

7. Training Credits

   Your licence to publish Online Training is covered by the purchase of training Credits.

   One Credit is consumed every time an External Training Course is run.

   Two Credits are consumed for each 30 day period that a Trainee is permitted access to your TEAM iQ system to run one or more Internal Training Courses.

   Training Credits are sold and payable in advance in the blocks and prices that will be agreed with you during your Free Trial.

   Training Credits are not refundable under any circumstances.

   Training Credits expire 12 months from the date of purchase, if not used within that time.

8. Promotional Training Courses

   A Promotional Training Course (‘PTC’) is a training course published on TEAM iQ the purpose of which is to promote the training you provide rather than to fulfil that training provision.

   The publication of PTC is free of charge and does not require or consume Training Credits.

   Where you publish any PTC you are responsible for advising us of it so that we do not take that course into account when calculating the consumption of Training Credits.

   We reserve the right to reject any PTC that we feel is more by way of training provision that promotion, and our decision in this respect is final.

9. Payment and Non payment of Fees

   In the event your Subscription Fee is not paid when due, or you publish Online Training that is not covered by Training Credits, we will be entitled to block your access to TEAM iQ until such time as payment is received, and to terminate this agreement if such Fees remain outstanding for more than 14 days from the due date.

10. Payment of taxes

    All Fees are subject to VAT at the prevailing rate.

11. Termination

    If we decide that your use of TEAM iQ is immoral or offensive, or causes detriment to us or other users of TEAM iQ then we will have the right to terminate this agreement.

    You are free to terminate this agreement and stop using TEAM iQ without notice at any time by not paying your Subscription Fee when it falls due.

12. Effect of termination

    Once this agreement is terminated we have the right to block access to your account and delete it without further reference to you.

13. Jurisdiction & Governing Law

    This agreement is subject to the exclusive jurisdiction of the course of England & Wales.

14. Complying with applicable law

    You are solely responsible for, and will comply with any and all applicable laws and regulations that may affect your use of TEAM iQ. If your use of TEAM iQ is or would be in violation of any laws that affect you, then you must not use TEAM iQ.

15. Ownership of and access to data

    You own any and all data and files which you upload or otherwise place into your TEAM iQ account, and you are solely responsible for the integrity, accuracy, legality and security of that data. We make no warranties nor accept any liability in that respect.

    Use of TEAM iQ may involve transmission of your data over various networks and international borders and you accept the necessity and hazards associated with this.

16. Disclaimer of warranties

    TEAM iQ may be subject to difficulties and delays including viruses and other problems inherent in the use of the internet and we are not responsible for any delay or damage caused by such problems.

    We make no representation that TEAM iQ is fit for any purpose that you intend to put it, nor that TEAM iQ will be secure, timely, error free or operate as you expect.

17. Limitation of liability

    Our liability to you for any damages is limited to the value of any unconsumed Training Credits on your account plus the value of any future period, if any, relating to your subscription fee

18. Indemnity

    You indemnify us, our agents, officers and employees against any claim, costs, damage or loss arising out of or in connection with your use of TEAM iQ, your violation of this agreement, of any applicable law or any claim by any third party that your use of TEAM iQ infringes their rights or causes them harm in any way.

19. Modification to terms and service

    We reserve the right to modify these terms and the TEAM iQ service from time to time with any modifications becoming effective upon being posting to or updated on teamiq.com. You are responsible for reviewing the terms posted and service available there on an ongoing basis. Your continued use of the system following such amendment shall constitute your acceptance of any such modification.

20. Communication

    Any communication we send you will be via electronic mail addressed to the ‘System Manager’ contact given and maintained by you in your TEAM iQ account, and/or by post addressed to the business address given and maintained by you in your TEAM iQ account.
